Acceptance of Terms

By accessing and using the services provided by volixo GmbH, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services. These terms apply to all users of our website and clients of our structural engineering services.

Service Description

volixo provides professional structural engineering services including but not limited to structural design, analysis, consultation, code compliance verification, and project management services. All services are provided in accordance with Austrian building codes, European standards (Eurocodes), and applicable international engineering standards.

Professional Standards

Our services are provided by qualified and licensed structural engineers in accordance with professional engineering standards. We maintain professional indemnity insurance and adhere to the codes of conduct established by relevant Austrian and European engineering bodies. All structural designs and calculations are subject to peer review and quality assurance procedures.

Client Obligations

As a client of volixo, you agree to:

• Provide accurate and complete project information, site conditions, and requirements
• Comply with all applicable building codes, regulations, and permit requirements
• Engage qualified contractors and construction professionals for implementation
• Notify volixo immediately of any changes to project scope or site conditions
• Make payments according to agreed terms and schedules
• Use our engineering documents only for the specific project and purpose intended
• Obtain proper permits and approvals before commencing construction

Project Scope and Changes

The scope of work for each project will be clearly defined in a written agreement or proposal. Any changes to the project scope must be agreed upon in writing and may result in additional fees. volixo reserves the right to refuse work that falls outside our area of expertise or that may compromise safety or regulatory compliance.

Intellectual Property

All engineering designs, calculations, drawings, specifications, and other technical documents prepared by volixo remain our intellectual property. Clients receive a licence to use these materials solely for the specific project for which they were created. Reproduction, modification, or use for other projects requires written permission from volixo. Our methodologies, software, and proprietary engineering approaches remain confidential and proprietary to volixo.

Confidentiality

volixo respects the confidential nature of client projects and will not disclose project details, technical information, or business information to third parties without client consent, except as required by law or professional obligations. We expect clients to similarly respect the confidentiality of our proprietary methods and business information.

Payment Terms

Payment terms will be specified in individual project agreements. Generally, fees are based on project complexity, time requirements, and deliverables. Invoices are payable within 30 days of issue unless otherwise agreed. volixo reserves the right to suspend work on projects with overdue payments and to retain ownership of work products until full payment is received.

Limitation of Liability

volixo's liability is limited to the fees paid for the specific services that gave rise to the claim. We shall not be liable for consequential, indirect, or punitive damages, including but not limited to loss of profits, project delays, or construction cost overruns. Our total liability for any project shall not exceed the total fees paid by the client for that project. This limitation applies except in cases of gross negligence or willful misconduct.

Professional Insurance

volixo maintains professional indemnity insurance appropriate to the nature and scale of our services. Details of our insurance coverage are available upon request. Clients are advised to maintain their own appropriate insurance coverage for their projects and construction activities.

Force Majeure

volixo shall not be liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, labour disputes, or other force majeure events. In such cases, performance obligations will be suspended until the circumstances are resolved.

Dispute Resolution

Any disputes arising from our services shall first be addressed through good faith negotiations. If resolution cannot be achieved, disputes will be resolved through mediation or arbitration in accordance with Austrian law. Both parties agree to make reasonable efforts to resolve disputes amicably before pursuing formal legal proceedings.

Governing Law

These terms of service are governed by Austrian law. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Austria. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Termination

Either party may terminate a service agreement with reasonable written notice. Upon termination, clients shall pay for all services performed up to the termination date. volixo will transfer completed work products upon receipt of full payment for services rendered. Certain obligations, including confidentiality and intellectual property provisions, shall survive termination.

Website Use

Our website is provided for informational purposes. While we strive for accuracy, we make no warranties regarding the completeness or accuracy of website content. Users are prohibited from using our website for any unlawful purpose or in any way that could damage or impair the website's operation.

Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these terms. By using our services, you consent to the collection and use of your personal information as described in our Privacy Policy and in accordance with applicable data protection laws.

Amendments

volixo reserves the right to modify these terms of service at any time. Updated terms will be posted on our website with a revised date. Continued use of our services after changes constitutes acceptance of the modified terms. For ongoing projects, significant changes will be communicated directly to affected clients.

Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
